Chapter 1  General Provisions


Article 1 The China Ceramic Industrial Association is a national and industry-specific social organization voluntarily formed by enterprises, institutions, social organizations, and individuals engaged in the production, design, research, education, circulation, collection, and other service activities related to the ceramic industry and products across the country.

The abbreviation for the association is "CCIA" in Chinese, and its English name is "China Ceramic Industrial Association."

The membership distribution and activity region of the association is nationwide.

Article 2 The purpose of the association is to adhere to the guidance of Marxism-Leninism, Mao Zedong Thought, Deng Xiaoping Theory, the important thought of the "Three Represents," the Scientific Outlook on Development, and Xi Jinping's Thought on Socialism with Chinese Characteristics for a New Era; to establish and improve the self-regulatory mechanism of the ceramic industry and protect the legitimate rights and interests of its members; to implement national industrial policies and perform functions entrusted by the government, assist government departments in strengthening industry management, maintain extensive contact with relevant domestic and foreign industries, enterprises, and peer organizations, serve as a bridge and link between the government and enterprises, and strive to serve the country, society, industry, and enterprises, promoting the healthy and sustainable development of China's ceramic industry.                                   

The association abides by the Constitution, laws, regulations, and national policies, practices socialist core values, promotes patriotic spirit, follows social morality, and consciously strengthens integrity and self-discipline.

Article 3 The association upholds the comprehensive leadership of the Communist Party of China, establishes the organization of the Communist Party according to the provisions of the Party's constitution, conducts Party activities, and provides necessary conditions for the activities of Party organizations.

The registration management authority of the association is the Ministry of Civil Affairs, and the industry management department is the Ministry of Industry and Information Technology.

The Party's work of the association is under the unified leadership of the Central Social Work Department. The association accepts business guidance and supervision from the Ministry of Civil Affairs and the industry management department.

Article 4 The leaders of the association include the President, Vice Presidents, and Secretary-General.

Article 5 The association is located in Beijing.

Chapter 2  Scope of Business


Article 6 The scope of business of the association includes:

(1) Participating in the formulation of industry regulations and agreements and organizing their implementation;

(2) Drafting industry development plans entrusted by the government and proposing suggestions for industry development;

(3) Conducting research on issues in industry development and making suggestions for relevant industry policies and regulations to government departments;

(4) Participating in industry statistics work as authorized, collecting, analyzing, managing, and publishing information, conducting statistical surveys according to the law, establishing an e-commerce information network to provide a basis for government industrial policy formulation, and providing information guidance and services for the industry;

(5) Participating in the formulation, revision, and implementation of national standards, industry standards, technical standards, economic standards, and group standards for the industry;

(6) Undertaking preliminary evaluations for significant investments, renovations, and development projects in the industry as commissioned by the government and relevant departments;

(7) Collaborating with relevant departments to analyze and coordinate the economic operation of the industry, establishing an early warning mechanism for the industry, conducting consulting services on policies and regulations, protecting intellectual property rights, anti-dumping, anti-subsidy, and unfair competition, and safeguarding industrial security;

(8) Organizing or hosting exhibition activities, technical exchange meetings, and academic reports as commissioned by the government or according to market and industry development needs;

(9) Organizing expert consultations, talent and technology training, collaborative research, and the promotion and application of new technologies according to relevant regulations;

(10) Actively participating in international and professional activities, expanding cooperation and exchanges in import and export trade, utilizing foreign investment, and introducing equipment and technologies;

(11) Providing technical consulting services, offering domestic and foreign technical, economic, and market information, conducting market forecasts, and organizing exchange activities;

(12) Establishing industry publications, websites, and new media according to relevant regulations; collecting, organizing, researching, and compiling industry materials, historical materials, and monographs according to relevant regulations;

(13) Strengthening industry self-discipline, standardizing industry and enterprise behavior, cultivating professional markets, and maintaining fair competition;

(14) Undertaking other tasks authorized or entrusted by government departments that align with the purpose of the association.      

Matters in the scope of business that require approval according to laws and regulations will be carried out after obtaining legal approval.


Chapter 3  Membership


Article 7 The association's members consist of unit members and individual members.

Article 8 Those who support the association's constitution and meet the following conditions may voluntarily apply to join the association:

(1) Have the willingness to join this association;

(2) Unit members: Enterprises, institutions, and social groups that have legally obtained a business license in the People's Republic of China;

(3) Individual members: Entrepreneurs, engineering and technical personnel, researchers, teachers, and others who have certain levels and achievements in business management, production technology, trade, scientific research, education, or who have expertise in ceramic art design.

The association does not compel or indirectly compel citizens, legal persons, or other organizations to join the association.

Article 9 The procedure for membership is as follows:  

(1) Submit a membership application;

(2) Introduced by at least one member;

(3) Submit relevant certification materials, including:

1. Enterprise business license;

2. Brief introduction of the enterprise;

(4) Discuss and approve by the council or an institution authorized by the council;

(5) The association's council or its authorized institution shall issue a membership certificate and announce it.

Article 10 Members enjoy the following rights:

(1) The right to vote, be elected, and voice opinions;

(2) The right to be informed about the association's work, to make suggestions, and to supervise;

(3) The right to participate in association activities and to have priority in receiving services from the association;

(4) The right to enjoy priority access to technical, economic information, and other materials provided by the association and publications issued by the association;

(5) The right to enjoy priority in consulting services or various help and guidance in aspects of production technology and business management;

(6) Membership is voluntary, and leaving the association is free.

Article 11 Members shall fulfill the following obligations:

(1) Abide by the association's constitution and various regulations;

(2) Implement the resolutions of the association;

(3) Pay membership fees as required;

(4) Safeguard the legitimate rights and interests of the association;

(5) Reflect situations to the association and provide relevant materials;

(6) Unit members must report significant events and changes (such as changes in enterprise name, relocation, and changes in legal representatives) to the association's secretariat in a timely manner for record.

Article 12 If a member violates laws, regulations, and the constitution of this association, the council or the executive council may approve the following penalties:

(1) Warning;

(2) Public criticism;

(3) Suspension of membership rights;

(4) Expulsion.

Article 13 Members wishing to withdraw from the association must notify the association in writing.

Article 14 Members who meet any of the following conditions will lose their membership status upon confirmation by the council or an institution authorized by the executive council:

(1) Failing to pay membership fees as required for two years;

(2) Failing to participate in association activities as required for two years;

(3) No longer meeting membership conditions;

(4) Losing civil capacity;

(5) Individual members being deprived of political rights.

Article 15 Members who withdraw, are expelled, or whose loss of membership status is confirmed under Article 14 shall automatically terminate their corresponding positions, rights, and obligations in the association.

Article 16 The association shall maintain a register of members, directors, and supervisors, documenting their conditions. Changes in the membership, director, and supervisor situations shall be recorded timely, and the register shall be updated and announced to members. The association is responsible for the proper preservation of records related to members, directors, and supervisors, as well as original records of resolutions from the general assembly, council, executive council, and supervisory board.


Chapter 4  Organizational Structure


Section 1  Member Representative Assembly


Article 17 The Member Representative Assembly is the authority of the association with the following powers:

(1) Formulating and amending the constitution;

(2) Deciding on major matters such as the association's work objectives and development plans;

(3) Formulating and amending methods for the election of member representatives, directors, executive directors, leaders, and supervisors, with the methods for selecting leaders submitted for record to the Central Social Work Department;

(4) Electing and dismissing directors and supervisors;

(5) Formulating and amending membership fee standards;

(6) Reviewing work reports and financial reports from the council;

(7) Deciding on the establishment of honorary positions;

(8) Reviewing the work report of the supervisory board;

(9) Deciding on matters related to name changes;

(10) Deciding on matters of termination;

(11) Deciding on other major matters.

Article 18 The Member Representative Assembly is convened every five years. If due to special circumstances early or delayed elections are required, this must be approved by more than two-thirds of the council. The earliest or latest elections may not exceed one year.

The association must notify member representatives of the meeting agenda at least 15 days in advance.

The electoral Member Representative Assembly should be held in person; other assemblies can be held in-person, via video conference, or a combination of both.

Article 19 A temporary Member Representative Assembly must be convened at the request of the council or more than 50% of the member representatives.

The temporary Member Representative Assembly is presided over by the President. If the President cannot preside over it, a leader of the association will be elected by the proposing council or more than one-fifth of the member representatives.

Article 20 A quorum of at least two-thirds of the member representatives is required to convene the Member Representative Assembly, and resolutions must meet the following conditions to take effect:

(1) For formulating and amending the constitution or deciding on the termination of the association, more than two-thirds of the member representatives present must vote in favor;

(2) For electing directors, the number of votes for elected directors must not be less than half of the member representatives present;

Dismissals of directors must be approved by more than half of the present member representatives;

(3) For formulating or amending membership fees, it must be voted on by more than half of the member representatives present via anonymous ballot;

(4) Other resolutions must be approved by more than half of the present member representatives.


Section 2  Council


Article 21 The council is the executive body of the Member Representative Assembly and leads the work of the association during the intervals of the assembly, reporting to the Member Representative Assembly.

The number of directors shall not exceed 398, and generally should not exceed one-third of the member representatives.

Directors cannot come from the same member unit and shall not receive salaries from the association.

Directors of the association must meet the following conditions:

(1) Elected from member units of the association;

(2) Must have been a member for more than one year;

(3) Must fulfill member obligations and actively participate in activities organized by the association;

(4) Must pay membership fees on time.

Article 22 Election and dismissal of directors:

(1) The first council shall be nominated by the initiators and members at the time of establishment and elected by the Member Representative Assembly following procedures;

(2) The council's term of office should be proposed three months before the convening of the Member Representative Assembly, forming a leadership group for the election consisting of representatives from the council, the supervisory board, the Party organization, and member representatives to be responsible for the election work;

The leadership group for the election should submit the election plan to the Central Social Work Department for review two months before the Member Representative Assembly convenes; during the election or adjustment process in office, it must fully consider opinions from industry management departments and communicate proactively with the Central Social Work Department; the candidates should be approved by the Central Social Work Department before the meeting can be convened for elections;

Following the provisions of this constitution, convene the Member Representative Assembly to elect and dismiss directors;

(3) The council may supplement or dismiss some directors during its term, not exceeding one-fifth of the original total number of directors.

Article 23 Each director unit may only appoint one representative to perform director duties. If a unit changes its director representative, it shall notify the association in writing for record with the council or executive council. If the unit is also an executive director, its representative should be adjusted accordingly.

Article 24 Rights of directors:

(1) The right to vote, be elected, and voice opinions in the council;

(2) The right to be informed about the association’s work conditions, financial situation, and major matters, as well as the right to make suggestions and supervise;

(3) The right to participate in the formulation of internal management systems and to make suggestions;

(4) The right to propose the convening of a temporary meeting to the President or the council.

Article 25 Directors shall abide by the laws, regulations, and the provisions of this constitution, faithfully fulfill their duties, safeguard the interests of the association, and fulfill the following obligations:

(1) Attend council meetings and implement council resolutions;

(2) Exercise rights within the scope of responsibilities and not exceed their authority;

(3) Cautiously, diligently, and independently exercise the powers legally granted to them;

(4) Accept the legal supervision and reasonable suggestions from the supervisory board regarding their duties;

(5) Not use their director powers to seek improper benefits;

(6) Not engage in activities that harm the legitimate interests of the association;

(7) Not disclose confidential information obtained during their tenure related to the association, unless otherwise provided by law or regulation.

Article 26 The powers of the council are:

(1) Implement the resolutions of the Member Representative Assembly;

(2) Elect and dismiss executive directors and leaders, and review changes to the legal representative;

(3) Decide on candidates for honorary positions;

(4) Prepare for the convening of the Member Representative Assembly and be responsible for the election work;

(5) Report work and financial status to the Member Representative Assembly;

(6) Decide on the admission and expulsion of members;

(7) Decide on the establishment, change, and termination of branches, representative agencies, offices, and other affiliated organizations;

(8) Decide on the deputy secretary-general and main leaders of affiliated organizations;

(9) Lead all affiliated organizations of the association;

(10) Review annual work reports and work plans;

(11) Review annual financial budgets and final accounts;

(12) Formulate important management systems such as information disclosure measures, financial management systems, management measures for branches and representative agencies, and internal conflict resolution measures;

(13) Decide on the assessment and compensation management methods for the association's leaders and staff;

(14) Review changes in operational funds;

(15) Review changes in the address;

(16) Decide on other major matters.

Article 27  The term of the council is the same as that of the Member Representative Assembly, and they are renewed simultaneously.  

Article 28 A council meeting requires the attendance of more than two-thirds of the directors to convene, and its resolutions must be approved by more than two-thirds of the attending directors to take effect.

If a director misses three consecutive meetings, they automatically lose their director status.

Article 29 Executive directors are elected from among the directors by anonymous voting by the council.

The leader (excluding the secretary-general if they are appointed) is elected from among the executive directors by anonymous voting by the council.

 The dismissal of executive directors and leaders requires the approval of more than two-thirds of the attending directors.

Article 30 When electing executive directors and leaders, the elected individuals are determined by vote count, but the number of votes must not be less than two-thirds of the total votes.

Article 31 The council shall hold at least one meeting every year. In special circumstances, meetings can be held in a communication format. Except for video conferences, no other communication meetings may decide on the following matters:

(1) Adjustments of leaders;

(2) Elections and dismissals of executive directors, and review matters concerning changes of the legal representative;

Article 32 At the proposal of the president or more than one-fifth of the directors, a temporary council meeting must be convened.

If the president cannot preside over the temporary council meeting, a leader of the association will be elected by the proposing convener to preside over the meeting.


Section 3  Executive Council


Article 33 The association establishes an Executive Council. Executive directors are elected from among the directors, and their number shall not exceed one-third of the total number of directors. During the intervals of the council, the Executive Council exercises the powers of items one, four, six, seven, eight, nine, ten, eleven, twelve, thirteen, and fourteen, accountable to the council.

The Executive Council has the same term as the council and is renewed simultaneously with the council.

Meetings of the Executive Council require the attendance of more than two-thirds of the executive directors to convene, and its resolutions must be approved by more than two-thirds of the attending executive directors to take effect.

If an executive director misses four consecutive meetings, they automatically lose their executive director status.

Article 34 The Executive Council shall hold at least one meeting every six months. In special circumstances, meetings can be held in a communication format.

Article 35 At the proposal of the president or more than one-third of the executive directors, a temporary Executive Council meeting must be convened.

    If the president cannot preside over the temporary Executive Council meeting, a leader of the association will be elected by the proposing convener to preside over the meeting.


Section 4  Leaders


Article 36 The leaders of the association include one president, 30 to 38 vice presidents, and one secretary-general.

 The leaders of the association must meet the following conditions:

(1) Uphold the leadership of the Communist Party of China, support socialism with Chinese characteristics, resolutely implement the Party's lines, principles, and policies, and possess good political qualities;

(2) Abide by laws and regulations, be diligent and responsible, and have a good personal social credit record;

(3) Possess corresponding professional knowledge, experience, and capabilities, be familiar with industry conditions, and have significant influence in the business field of the association;

(4) Be in good health, capable of fulfilling responsibilities, with a maximum age of no more than 70 years; the secretary-general must be full-time;

(5) Have full civil capacity;

(6) Be able to faithfully and diligently fulfill responsibilities and safeguard the legitimate rights and interests of the association and its members;

(7) Not be identified as a person of untrustworthiness;

(8) Not fall under any other circumstances prohibited by laws, regulations, and national provisions.

The president and secretary-general cannot concurrently hold the position of president or secretary-general in other social organizations, and the president and secretary-general cannot be the same person. The president and secretary-general cannot be employees from the same unit except for those who have signed labor contracts with the association. There should be no close relatives among the leaders, and they cannot be employees from the same member unit.

Article 37 The term of the association's leaders is the same as that of the council, and they may serve no more than two consecutive terms. If there are special circumstances requiring an extension of the term, it must be approved by a vote of the council and submitted for approval to the Central Social Work Department and for record at the registration management authority.

The appointed secretary-general may serve an unlimited number of terms.

Article 38 The president is the legal representative of the association.

In special circumstances, upon the recommendation of the president, agreement from the council, and approval from the Central Social Work Department and the registration management authority, the vice president or secretary-general may serve as the legal representative. The appointed secretary-general cannot serve as the legal representative of the association.

The legal representative represents the association in signing important documents.

The association's legal representative cannot concurrently serve as the legal representative of other social organizations.

Article 39 If the leader serving as the legal representative is dismissed or resigns, the association shall report to the Central Social Work Department within 20 days after deciding on a new legal representative according to procedures and apply to the registration management authority for a change of registration.

If the former legal representative does not cooperate in processing the change of legal representative registration, the association may apply for the change of registration with the new legal representative's signature based on a valid resolution approved by the council.

Article 40 The president shall perform the following duties:

(1) Convene and preside over the Member Representative Assembly, council, and Executive Council;

(2) Check the implementation of resolutions from the Member Representative Assembly, council, and Executive Council;

(3) Report work to the Member Representative Assembly, council, and Executive Council;

(4) Draft annual work reports and work plans for the council or Executive Council to review.

The president and legal representative shall report to the council annually.

If the president cannot fulfill their duties, they shall delegate or appoint one vice president elected by the council (or Executive Council) to perform their duties.

Article 41 The vice presidents and secretary-general assist the president in carrying out their work.

The secretary-general shall exercise the following duties:

(1) Coordinate the work of various institutions;

(2) Preside over the daily work of the office;

(3) Nominate deputy secretaries-general and main leaders of affiliated institutions, subject to decision by the council or Executive Council;

(4) Decide on the employment of full-time staff;

(5) Draft various management systems for council or Executive Council review;

(6) Draft annual financial budgets and final accounts for council or Executive Council review;

(7) Handle other daily affairs.

Article 42 Meetings of the Member Representative Assembly, council, and Executive Council shall prepare meeting minutes. Resolutions formed shall be made in written form, confirmed by the members attending the council, Executive Council, or supervisory board. Meeting minutes and resolutions should be communicated to members in an appropriate manner, available for member inquiry, and preserved for at least 30 years.

For proposals to dismiss leaders, a report must be submitted to the Central Social Work Department 20 days before the dismissal resolution is made; for newly appointed leaders, a report must be submitted to the Central Social Work Department within 20 days after the appointment resolution is made. Changes in leadership must be reported to the registration management authority within 30 days after the resolution for the change is made.

Changes in directors, executive directors, and leaders must be timely reported to members for inquiry and public disclosure.


Section 5  Supervisory Board


Article 43 The association establishes a supervisory board with a term equal to that of the directors, which can be re-elected upon expiration. The supervisory board consists of 3 to 5 supervisors. The supervisory board shall have one chairperson, elected by the board members. The maximum age for the chairperson is 70 years, and they may serve no more than two consecutive terms.

The association accepts and supports supervision and guidance from appointed supervisors.

Article 44 Election and dismissal of supervisors:

(1) Supervisors are elected by the Member Representative Assembly;

(2) The dismissal of supervisors follows the procedures for their election.

Article 45 The association's leaders, directors, executive directors, and financial management personnel shall not concurrently serve as supervisors.

Article 46 The supervisory board exercises the following powers:

(1) Attend meetings of the council and Executive Council and raise inquiries or suggestions regarding resolutions;

(2) Supervise the actions of directors, executive directors, and leaders in performing their duties, and suggest dismissals for those who seriously violate the association's constitution or resolutions of the Member Representative Assembly;

(3) Inspect the association's financial reports and report the work of the supervisory board to the Member Representative Assembly while making proposals;

(4) Request timely corrections for actions by leaders, directors, executive directors, and financial management personnel that harm the association's interests;

(5) Report issues arising in the association's work to the Central Social Work Department, industry management departments, registration management authorities, as well as tax and accounting authorities;

(6) Decide on other matters that should be reviewed by the supervisory board.

The supervisory board shall hold at least one meeting every six months. A meeting requires the attendance of more than two-thirds of supervisors to convene, and its resolutions must be approved by more than half of the attending supervisors to be valid.

Article 47 Supervisors must abide by relevant laws, regulations, and this constitution, and faithfully and diligently fulfill their duties.

Article 48 The supervisory board can investigate the activities of the association; if necessary, it may hire accounting firms and others to assist its work. Necessary expenses incurred in exercising the board's powers shall be borne by the association.


Section 6  Branches and Representative Offices


Article 49 The association may establish branches and representative offices according to national regulations within the association's objectives and scope of business, based on actual work needs and in line with the association's management capacity. Branches are established based on member composition characteristics and business scope; representative offices are authorized by the association to conduct liaison, exchange, and research activities within specified regions. Branches and representative offices are part of the association and do not possess legal person status, shall not formulate separate constitutions, nor issue any form of registration certificates. They shall conduct activities within the scope authorized by the association according to the objectives and scope specified in this constitution, and the legal responsibilities shall be borne by the association.

The association will promptly disclose information regarding the establishment, changes, and termination of branches and representative offices to society.

Article 50 The association does not establish regional branches and does not set up branches or representative offices under branches or representative offices.

Article 51 The names of branches established legally by the association should end with terms accurately reflecting their nature and business scope, such as "branch," "professional committee," "working committee," "expert committee," "technical committee;" representative offices should end with terms like "representative office," "office," "liaison office." The names of branches and representative offices, except for those prefixed with the association's name, shall not be named after legal entities; terms such as "China," "national," or "Chinese" are limited to industry-specific terms.

The names of internal offices of the association should end with terms such as "department," "division," or "office," and shall not be named after legal entities except for those prefixed with the association's name, distinguishing them from the names of branches and representative offices.

Article 52 The maximum age for leaders of branches and representative offices shall not exceed 70 years, and they may serve no more than two consecutive terms.

Article 53 The finances of branches and representative offices shall be uniformly managed within the association's legal accounts, and all income and expenditures shall be included in the association's financial accounting.

Article 54 The association shall submit relevant information about branches and representative offices in its annual work report to the registration management authority. At the same time, it will promptly disclose relevant information to society and consciously accept social supervision.


Section 7  Internal Management Systems and Conflict Resolution Mechanisms


Article 55 The association establishes various internal management systems and improves relevant management regulations. The association establishes relevant systems and documents such as "Member Management Measures," "Member Representative Election Measures," "Membership Fee Management Measures," "Council Election Procedures," "Member Representative Assembly Election Procedures," "Information Disclosure Measures," "Financial Management Systems," "Asset Management Systems," "Internal Control Systems," "Management Measures for Branches and Representative Offices," and "Internal Conflict Resolution Measures."

Article 56 The association establishes internal management systems for certificates, seals, archives, documents, etc., ensuring that the aforementioned items and materials are properly stored at the association's address, and that no unit or individual may illegally occupy them. When personnel managing these items change jobs or resign, they must complete handover procedures with the incoming personnel.

Article 57 In case of loss of certificates or seals, a resolution must be approved by more than two-thirds of the directors in the council; a public loss statement should be published in publicly distributed newspapers, and a request for reissuance or remaking should be made according to regulations. If illegally occupied by individuals, legal means should be used to seek their return.

Article 58 The association establishes a mechanism for democratic consultation and internal conflict resolution. If internal conflicts cannot be resolved through consultation, they may be legally resolved through mediation or litigation.


Chapter 5 Asset Management and Utilization Principles


Article 59 The sources of income for the association include:

(1) Membership fees;

(2) Donations;

(3) Government subsidies;

(4) Income from conducting activities and providing services within the approved scope of business;

(5) Interest;

(6) Other lawful income.

Article 60 The association collects membership fees according to national regulations.

Article 61 The income of the association shall be used solely for reasonable expenses related to the association, while all funds shall be used for the business scope stipulated in this constitution.

Article 62 The association implements the "Accounting System for Non-Profit Organizations" and establishes strict financial management systems to ensure that accounting materials are legal, authentic, accurate, and complete.

Article 63 The association is equipped with professionally capable accountants. Accountants shall not concurrently serve as cashiers. Accounting personnel should perform accounting and implement accounting supervision. When accounting personnel change jobs or resign, they must complete handover procedures with the incoming personnel.

Article 64 The asset management of the association follows national asset and financial management regulations and accepts supervision from the Member Representative Assembly and relevant departments. Assets sourced from national allocations or social donations or contributions shall be subject to audit supervision, and relevant situations shall be disclosed to the public in an appropriate manner.

Article 65 Major asset allocations and disposals must be reviewed by the Member Representative Assembly, council, or Executive Council.

Article 66 If the resolutions of the council or Executive Council violate laws, regulations, or this constitution, resulting in losses to the association, the directors or executive directors who participated in the review shall bear responsibility. However, those who can prove they opposed the resolution at the meeting and this is recorded in the meeting minutes may be exempt from responsibility.

Article 67 The association shall conduct a financial audit before a change of term or a change of legal representative.

During the tenure of the legal representative, if the association engages in activities that violate the "Regulations on the Registration Management of Social Organizations" and this constitution, the legal representative shall bear relevant responsibilities. If the legal representative's negligence leads to illegal activities or property losses for the association, the legal representative shall bear personal responsibility.

Article 68 All assets and their appreciation belong to the association, and no unit or individual may occupy, divide, or misappropriate them, nor distribute them among members.


Chapter 6  Information Disclosure and Credit Commitment


Article 69 The association fulfills its information disclosure obligations according to relevant laws and regulations, establishing an information disclosure system to promptly disclose to members the list of leaders, annual work reports, reports issued by third-party agencies, membership fee income and expenditure situations, and any other information deemed necessary for disclosure by the council, as well as promptly disclosing information concerning registration matters, the constitution, organizational structure, acceptance of donations, credit commitments, government transfers, or entrusted matters, services that can be provided, and operational situations to the public.

Article 70 The association establishes a spokesperson system, approved by the council or Executive Council, designating one leader as the spokesperson to proactively respond to social concerns regarding the association's important activities, major events, or hot issues, through regular or irregular press conferences, briefings, or interviews. The content of press releases should be approved by the legal representative or main leader of the association to ensure correct public opinion guidance.

Article 71 The association establishes an annual reporting system, and the content of annual reports shall be promptly disclosed to the public to accept public supervision.

Article 72 The association focuses on establishing a credit commitment system around service contents, service methods, service targets, and fee standards, and publicly discloses the content of credit commitments.


Chapter 7  Procedures for Amending the Constitution


Article 73 Amendments to the constitution of the association must be passed by a vote in the council and submitted for review by the Member Representative Assembly.

Article 74 The amended constitution shall be reported to the registration management authority for approval within 30 days after being passed by more than two-thirds of the member representatives at the Member Representative Assembly, and shall be publicly disclosed within 30 days after approval by the registration management authority.


Chapter 8  Termination Procedures and Post-Termination Asset Handling


Article 75 The motion for termination of the association shall be proposed by the council or Executive Council and passed by a vote of the Member Representative Assembly.

Article 76 Before the termination of the association, a liquidation organization shall be established in accordance with the law to settle debts and handle aftermath. No activities other than liquidation activities shall be conducted during the liquidation period.

Article 77 The residual property after liquidation shall be used in accordance with national regulations for developing undertakings related to the association's objectives, or donated to social organizations with similar purposes, under the supervision of the registration management authority and relevant departments.

Article 78 The association shall be terminated after the registration management authority completes the cancellation registration procedures.


Chapter 9  Supplementary Provisions


Article 79 This constitution was adopted by the first Member Representative Assembly of the eighth session on December 16, 2024.

Article 80 The interpretation power of this constitution belongs to the council of the association.

Article 81 This constitution shall come into effect from the date of approval by the registration management authority.
